EU Inc. is a proposed EU-wide limited liability company form intended to harmonise core corporate rules across Member States, including Poland. It would offer online registration within 48 hours for up to EUR 100, no minimum share capital and a digital share register, but would not harmonise national taxation, labour law or all local obligations.


What is EU Inc. and would it be available in Poland?

EU Inc. would operate as an optional 28th legal regime alongside national systems. It would not replace Polish forms such as a limited liability company (spółka z ograniczoną odpowiedzialnością, sp. z o.o.) or a simple joint-stock company (prosta spółka akcyjna, PSA).

Under proposed Regulation COM(2026) 321, EU Inc. would have legal personality and limited shareholder liability. Founders could choose the registration state, including Poland; non-harmonised matters would remain subject to the law of the registered office.

What would EU Inc. simplify for businesses?

The proposal includes:

  • fully online company registration within 48 hours under the fast-track procedure, at a maximum cost of EUR 100,
  • no minimum share capital, with EUR 0 permitted,
  • a digital share register, different share classes and investment instruments,
  • harmonised documents and an EU interface based on the Business Registers Interconnection System (BRIS),
  • the once-only principle, reducing repeated submission of the same data to authorities,
  • more consistent rules for shares, financing and reorganisations.

The Commission estimates EU-wide administrative savings of EUR 328–440 million over 10 years, assuming use by around 308,000 companies.


Which obligations would remain national?

EU Inc. would not create a single EU tax system or labour code. A business in Poland would still need to assess tax residence, permanent establishments, value added tax (VAT), transfer pricing, corporate income tax (CIT) and employment obligations.

The proposal harmonises the corporate-law foundation, not the entire regulatory environment. It therefore does not mean “register once and operate everywhere without local obligations”.


Which companies could benefit most?

EU Inc. is likely to matter most for cross-border businesses with foreign shareholders, international investors, frequent funding rounds or plans to expand into other EU markets.

For a company operating only in Poland, the advantages over established Polish forms may be limited. EU Inc. would not itself reduce CIT or remove Polish tax and employment obligations.


When could EU Inc. become available?

The Commission presented the proposal on 18 March 2026 under procedure 2026/0074(COD). There is currently no binding launch date, and an EU Inc. cannot yet be registered in Poland or elsewhere in the EU.

EU institutions aim for political agreement by the end of 2026, but the current proposal provides for the Regulation to apply only 12 months after its entry into force.

Investors should therefore not delay entry into Poland. Operations, employees, management, taxation, financing and the regulatory environment will remain decisive.
