- Supervisory Board is optional however in some cases useful
- Minimum share capital to be paid up in full is 5,000 PLN (equivalent to 1,200 EUR or 1,000 GBP)

- Characteristics of this entity are similar to the UK PLC
- There are no restrictions for foreign shareholders
- Only one member of the Board of Directors (Managing Director) is needed
- There is a need for a Supervisory Board
- Minimum share capital to be paid up in full is 100,000 PLN (approx. 24,000 EUR or equivalent to 20 000 GBP)

- Only General Partners are entitled to represent the partnership
- There is no minimum capital
- Both General Partner and Limited Partner do not have to be natural persons
- There is a freedom to determine the profit-sharing relationship between partners.

- This partnership is a hybrid between Partnership and Joint-Stock company. Characteristics of this entity are similar to German Kommanditgesellschaft auf Aktien (KGaA) or French Société en commandite par actions (SCA) or Belgian Commanditaire vennootschap op aandelen (CVA)
- Spółka musi mieć co najmniej jednego komplementariusza – w pełni odpowiedzialnego za długi i co najmniej jednego udziałowca z ograniczoną odpowiedzialnością;
- A company must have at least one General Partner – fully liable for debts and at least one shareholder with limited liability
